1. Who these terms apply to

These terms apply to all clients of Coreframe Digital (“we”, “us”), a sole trader based in Cardiff, Wales, UK. By engaging our services — whether through a signed agreement, email confirmation, or deposit payment — you agree to these terms.

2. Project agreements

Every project begins with a written scope of work agreed by both parties, outlining deliverables, pricing, timeline, and revision rounds. This written agreement (email confirmation or formal contract) takes precedence over any verbal discussions.

Work begins upon receipt of the agreed deposit payment (typically 50% of the project total). No work will commence without a deposit.

3. Payment terms

  • Deposit: 50% due before work begins
  • Balance: 50% due on project completion, before site goes live or files are transferred
  • Invoices are payable within 14 days of issue
  • All prices exclude VAT unless explicitly stated otherwise
  • Late payments may incur a late payment fee of 8% above the Bank of England base rate per annum, in accordance with the Late Payment of Commercial Debts Act 1998

4. Revisions and changes

Each package includes a defined number of revision rounds. Additional revisions beyond the agreed number are charged at £75/hour and will be quoted before work begins.

Changes to project scope after work has begun may require a revised quote and timeline. We will always notify you before any additional cost is incurred.

5. Ownership and intellectual property

Upon receipt of final payment, full ownership of all deliverables — including website code, design assets, and written copy produced by us — transfers to you, the client.

You confirm that any content, images, logos, or materials you provide to us are either owned by you or that you have the right to use them. You indemnify Coreframe Digital against any claims arising from the use of materials you have provided.

We reserve the right to display completed work in our portfolio, unless you request otherwise in writing before the project begins.

6. Timeline and delivery

Timelines quoted are estimates based on the agreed scope and assume timely feedback from the client. Delays in client feedback, content provision, or approval may extend the delivery timeline. We will notify you if a delay affects your expected launch date.

We are not liable for delays caused by third parties (e.g. domain registrars, hosting providers, payment processors).

7. Client responsibilities

To keep your project on track, you agree to:

  • Provide feedback within 5 business days of any design or content review
  • Supply any required assets (logos, photos, existing brand materials) promptly
  • Nominate a single point of contact for decisions and approvals
  • Ensure all content and materials provided do not infringe third-party rights

8. Cancellations

If you cancel a project after work has begun, the deposit is non-refundable. If more than 50% of the agreed work has been completed, the full project fee may be due. We will provide you with all completed work to date upon cancellation.

We reserve the right to cancel a project if a client acts abusively toward us or fails to meet payment obligations. In such cases, all work completed to date remains our intellectual property until all outstanding invoices are settled.

9. Limitation of liability

Our total liability to you for any claim arising from our services is limited to the total fees paid by you for the specific project giving rise to the claim.

We are not liable for any indirect, consequential, or loss-of-profit damages arising from use of our deliverables. We do not guarantee specific search engine rankings, lead volumes, or business outcomes from any website or software we build.

10. Ongoing services (Care Plans)

Monthly care plans are billed in advance and can be cancelled with 30 days' written notice. If a care plan is cancelled, you remain responsible for your own hosting, backups, and security updates. We will provide your site files and any credentials required for you to continue independently.

11. Governing law

These terms are governed by the laws of England and Wales. Any disputes will be subject to the exclusive jurisdiction of the courts of England and Wales.
